Midu Studio
1. Introduction and Legal Terms
By accessing or using our website, any related platform, or any services provided by Midu design studio (collectively, the “Platform”), you agree that you have read, understood, and agree to be bound by these Terms of Use (“Terms”). All rights in and to the Platform are expressly reserved by Midu. These Terms govern the conditions applicable to your use of the Platform and Services, and you are advised to read them carefully before using the Platform. Your continued access to or use of the Platform will be deemed as acceptance of these Terms.
Certain provisions of these Terms may limit the risk or liability of Midu, constitute an assumption of risk or liability by you, impose an obligation on you to indemnify Midu, or serve as an acknowledgement of certain facts. The terms “user”, “you”, and “your” refer to any person accessing or using the Platform, and the terms “we”, “us”, or “our” refer to Midu.
2. Our Services
Midu provides professional digital design services, including but not limited to branding, website design and development (including work on platforms such as Framer), presentation design, and 3D and motion design, collectively referred to as the “Services”. The scope, timing, and delivery of such Services may be further defined in separate agreements, proposals, or communications between you and Midu.
3. Communication
By engaging with the Platform or submitting any inquiry, you consent to Midu communicating with you through electronic means, including but not limited to email and messaging platforms such as WhatsApp, Telegram, or similar services. Such communication may be used for the purpose of responding to inquiries, providing Services, requesting information, offering proposals, or addressing any feedback, questions, or concerns. You acknowledge that such communication forms part of the normal operation of the Services.
4. Responsibilities and Warranties
By using the Platform and/or the Services, you warrant that you have read and agreed to these Terms and will use the Platform in accordance with them. You further warrant that all information provided by you is true, accurate, and complete in all respects and that you have not made any misrepresentations. You confirm that you are at least 18 (eighteen) years of age or have obtained the necessary consent from a parent or legal guardian who accepts responsibility for your use of the Platform.
You further warrant that you lawfully possess all rights to any materials, content, or information submitted to Midu and that such submission does not infringe any third-party rights. You agree to indemnify Midu against any claims arising from the use of such materials.
You agree that you will not upload, transmit, or otherwise make available any content that is unlawful, threatening, defamatory, abusive, discriminatory, or in breach of privacy or confidentiality. You further agree that you will not interfere with or attempt to interfere with the proper functioning of the Platform by any means, including but not limited to the use of malicious code, unauthorized access attempts, or disruption of systems. You shall not use the Platform for any purpose that is unlawful or prohibited by these Terms, nor shall you infringe any intellectual property rights or facilitate any such conduct by a third party.
Any breach of this clause shall constitute a material breach of these Terms and may result in immediate suspension or termination of your access to the Platform, as well as potential legal action.
5. Platform Access and Technical Requirements
The Platform is accessible via internet-enabled devices, and it is your responsibility to obtain and maintain the necessary hardware, software, and connectivity required for access. Midu does not guarantee that the Platform will function without interruption, delay, or error, nor that it will be compatible with all devices or systems. Access to the Platform may be suspended or restricted at any time for maintenance, updates, or other operational reasons without prior notice.
6. Messages, Data Transmission, and External Links
Data messages exchanged between you and Midu, including email and messages sent via communication platforms, shall be deemed to have been received by Midu only once we have acknowledged or responded to such messages. Data messages sent by Midu shall be deemed received by you once they have entered your designated communication channel and are capable of being retrieved and processed by you.
You acknowledge that communications over the internet are not fully secure and may be subject to interception, loss, or alteration. Accordingly, Midu shall not be responsible for the integrity, confidentiality, or security of any electronic communications transmitted between the parties, nor for any loss or damage arising therefrom.
The Platform may contain links to third-party websites or services. Midu does not own, control, or endorse such third-party resources and shall not be responsible for their content, availability, or any consequences arising from your use thereof. Access to such third-party platforms is undertaken entirely at your own risk.
7. Intellectual Property
All content, materials, and elements of the Platform, including but not limited to text, graphics, designs, layouts, user interface elements, software code, branding, and any other intellectual property, are owned by or licensed to Midu and are protected under applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for its intended purposes, subject to these Terms.
You shall not copy, reproduce, modify, distribute, publish, or otherwise exploit any part of the Platform without the prior written consent of Midu.
All intellectual property provided by you shall remain your property; however, by submitting such materials, you grant Midu a non-exclusive license to use such materials to the extent necessary to provide the Services. You agree to indemnify Midu against any claims arising from the use of such materials.
Midu reserves the right to modify, update, or remove any content on the Platform at any time without prior notice.
8. Disclaimers and Limitation of Liability
The Platform and Services are provided on an “as is” and “as available” basis, and Midu makes no representations or warranties, whether express or implied, regarding the accuracy, reliability, availability, or suitability of the Platform or Services. Midu does not guarantee uninterrupted access, the absence of errors, or that the Platform will be free from harmful components.
To the maximum extent permitted by law, Midu shall not be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to loss of profits, loss of data, or business interruption, arising from or in connection with the use of the Platform or Services.
Your use of the Platform is entirely at your own risk.
9. Indemnification
You agree to indemnify, defend, and hold harmless Midu, its team members, partners, and affiliates from any and all claims, liabilities, damages, losses, or expenses, including legal fees, arising out of or in connection with your use of the Platform, your breach of these Terms, or your violation of any rights of a third party. This obligation shall survive termination of these Terms.
10. Dispute Resolution
In the event of any dispute arising from the use of the Platform or Services, the parties shall first attempt to resolve such dispute through good faith negotiations. If the dispute cannot be resolved through negotiation, the parties may seek resolution through mediation with an independent third party. Should mediation fail, the dispute may be referred to arbitration or a competent court of jurisdiction. The parties agree not to publicly disclose any dispute prior to attempting resolution through the mechanisms described above.
11. Termination of Use
Midu reserves the right, at its sole discretion, to suspend or terminate your access to the Platform or Services in the event of a breach of these Terms or for any other legitimate reason, subject to reasonable notice where applicable. You may terminate your use of the Platform at any time; however, such termination shall not affect any rights or obligations that have accrued prior to termination.
12. Notices
Any notices required under these Terms may be delivered via email or other communication channels provided by you. Notices shall be deemed received once delivered to the relevant communication channel and capable of being accessed.
13. General Provisions
These Terms may be updated or amended from time to time, and such changes shall become effective upon publication on the Platform. Continued use of the Platform constitutes acceptance of the updated Terms. Nothing in these Terms shall be construed as creating any partnership, joint venture, or employment relationship between the parties. Neither party shall be liable for failure to perform obligations due to events beyond their reasonable control, including but not limited to natural disasters, outages, or governmental actions. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
